How it works

  1. 1Statutory cap = 100,000 × 20% = 20,000
  2. 2Effective deposit = 20,000; excess 10,000 is a prepayment only
  3. 3Receiver breaches → 20,000 × 2 + 10,000 prepayment = 50,000

Under Civil Code Art. 586: the deposit may not exceed 20% of the main contract amount; any excess has no deposit effect and is treated as a prepayment (refundable). Art. 587: if the deposit receiver breaches fundamentally, they must return double the deposit; if the payer breaches, the deposit is forfeited.

"定金" (deposit, with penalty effect) and "订金" (prepayment, no penalty) are legally distinct — write the exact word on receipts and transfers. Deposit and liquidated damages clauses are alternative remedies (Art. 588): choose one, plus damages beyond the deposit.
